Terms of Use
Ledger Lens is operated by S&N Enterprises Ltd, New Zealand. Last updated 3 November 2026.
1. Using Ledger Lens
By using this website you agree to these terms. If you do not agree, do not use it. You use Ledger Lens for business purposes, to help you assess a business you are thinking of buying.
2. Not advice
Ledger Lens gives rough, automated estimates from the figures you provide and from general New Zealand benchmarks. It is not financial, accounting, tax, valuation or legal advice, and it may be wrong or incomplete. Before you make an offer or sign anything, get advice from your own accountant, lawyer and other qualified advisers. Do not rely on Ledger Lens alone.
3. Who owns Ledger Lens
The website, its software, benchmarks, checks, scoring rules, text, design and the Ledger Lens name belong to S&N Enterprises Ltd. Ledger Lens™ is a trade mark of S&N Enterprises Ltd, with an application filed with IPONZ. You may use the website for your own purchase decisions. You must not:
- copy, reproduce, resell or redistribute any part of it;
- reverse engineer, decompile, scrape or systematically extract its code, benchmarks, rules or results;
- use it, or anything taken from it, to build or train a competing product or service;
- overload, probe or interfere with the website or its servers, or get around its limits.
4. Confidential documents
Information memoranda (IMs) are usually confidential. A broker or seller normally gives one only to a buyer who has signed a confidentiality agreement. Each time you upload an IM, you confirm that:
- you received it yourself, under a confidentiality agreement you signed, or with the seller's permission;
- that agreement lets you use it to assess the business, including with tools and advisers who keep it confidential;
- you will not upload an IM on behalf of someone who has not signed, or share your results with them.
You are responsible for keeping to your confidentiality agreement. If you are not sure it allows this use, ask the broker before you upload.
5. How we handle your documents
We do not store your IMs. With "Private" reading, the IM is read inside your browser and never leaves your device. With "Detailed" reading, the text, or page images for scanned pages, is sent once to our AI provider (named in the Privacy Policy) to pick out the figures, and is not kept by us after the request finishes. Our provider does not use this data to train its models. The figures are saved in your own browser (they are sent to our server only to work out results, and not kept), and you can remove them at any time with "Remove this IM from this device". We record only that you confirmed the box above, and when, never the document or its contents. See the Privacy Policy.
6. No warranty and limits on liability
Ledger Lens is provided "as is", without any warranty that it is accurate, complete or always available. If you are in trade and use Ledger Lens for the purposes of a business (including a business you are buying), you agree that the Consumer Guarantees Act 1993 and sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, and that this is fair and reasonable. Nothing in these terms limits rights you have that cannot be excluded by law. To the extent the law allows, S&N Enterprises Ltd's total liability to you is limited to the amount you paid for Ledger Lens in the 12 months before the claim, and it is not liable for indirect loss or for any decision you make using Ledger Lens.
7. Not financial advice
Ledger Lens is an information tool. It does not give financial advice or recommend financial products under the Financial Markets Conduct Act 2013, and nobody at Ledger Lens reviews your results. Its labels, such as "Overpriced" or "points to question", are automated comparisons with benchmarks. They are not a finding that anyone has done anything wrong.
8. Data sources
Benchmarks include data from Stats NZ, licensed under the Creative Commons Attribution 4.0 International licence, and fee figures from New Zealand regulations. Stats NZ does not endorse Ledger Lens. Benchmarks also draw on public business-for-sale listings and industry figures, adjusted by us.
9. Changes
We may change the website or these terms at any time. The current terms are always on this page.
10. Law
These terms are governed by New Zealand law, and New Zealand courts have jurisdiction.
